San Mateo, Calif. Nov. 16, 1999 –E.piphany, Inc., the provider of software solutions that enable companies to get, keep and grow customer relationships, announced that it has signed a definitive agreement to acquire privately-held RightPoint, the provider of real-time personalization solutions. E.piphany’s comprehensive understanding of the customer combined with RightPoint’s real- time personalized interaction sets a new standard and establishes a clear leader in software for the customer economy. Together, the companies optimize each and every customer interaction by creating a single enterprise-wide view of the customer, enabling insight and action across all touch points – in real- time. The two companies’ customers include the dominant leaders in the e- commerce, financial services, communications, consumer-packaged goods and technology industries including CBS SportsLine, American Express, Charles Schwab, GTE, Procter & Gamble and Hewlett-Packard.

Under the terms of the definitive agreement, E.piphany will issue approximately 3.5 million shares of its common stock to the shareholders of RightPoint, or approximately 10.5 percent of the combined company on a fully diluted basis. The transaction will be accounted for as a purchase. The acquisition is subject to customary closing conditions including the approval of RightPoint’s shareholders and regulatory approvals. Upon completing the transaction, E.piphany expects that it will have almost 275 employees.
