The $65 a share deal values Sybase at approximately $5.8 billion.
The transaction will bring two information technology leaders together to he companies to better run mobile business processes, according to SAP and Sybase executives.
Bill McDermott, co-CEO of SAP and member of the SAP executive board, emphasized the emerging roll of mobile information workers and the step SAP is taking to meet the booming population’s business needs.
“Companies need to deliver information and business in real time to make faster and better business decisions,” says McDermott. “Sybase’s business will benefit from SAP’s in-memory technology, expanding it to billions of mobile users.”

It will revolutionize how mobile and analytic transactions are built, driving a new wave of enterprise productivity and enabling companies to transform their businesses in an increasingly data centric and mobile centric world,” says John Chen, CEO of Sybase, Inc.
SAP and Sybase will benefit from complementary strengths across product lines and markets, according to the company release. SAP will put more of its software onto mobile plaforms and try to realize its "in-memory computing" vision. Sybase has software that can connect applications and data so they can be used together on mobile devices.
Sybase will also be able to bring its complex event processing and analytics, which was built in the financial sector, to customers in industries, markets and product areas in which SAP has a presence.
Sybase’s core database business will be enhanced by SAP in-memory technology to deliver integrated transactional and analytical capabilities. SAP stated that it will continue its commitment to supporting leading database vendors.
Sybase will operate as a standalone unit under the name “Sybase, an SAP Company,” according to SAP. Sybase’s management team remains in place.
